Terms of Service
Effective 2026-10-17
These terms are an agreement between you and AutomateJake ("we", "us"). They cover the hosted business software we sell, including sites at our product domains such as automatechurch.com, the customer portal, and our signup pages (together, the "Service"). By starting a free trial, paying for a subscription, or using the Service, you agree to these terms and to our Privacy Policy. If you sign up for an organization, you confirm you may bind it to these terms, and "you" means that organization.
1. The Service
We host a private business system for you, built on Odoo Community Edition and open-source and commercial add-on modules. Each customer gets its own database. The open-source software keeps its own licenses (for example LGPL-3 or AGPL-3). These terms cover our hosting, support and the add-ons we sell, not your rights under those licenses.
You must be at least 18 years old and use the Service for your business, church, nonprofit or other organization. You are responsible for your account, for the people you invite to your site, and for keeping passwords safe. Tell us right away at jacob@automatejake.com if you think your account has been used without permission.
2. Free trials
A free trial lets you try the Service without paying. We may limit trials to one per person or organization. You must confirm your email address when asked, or the trial site is deleted. When the trial ends, your subscription starts and is charged to the card on file. If no card is on file, the site follows the non-payment steps in section 4. We may end or change trials at any time.
3. Subscriptions, fees and renewals
- Subscriptions are billed monthly or yearly, in advance, at the prices shown at signup or in your account.
- Your subscription renews automatically for the same period. If you have a card on file, we charge it on the renewal date and may retry a declined card.
- Some plans are priced per user or per app. We count active users and installed apps on your site to bill them.
- Prices do not include taxes. You pay any sales, use or similar taxes that apply.
- We may change prices with at least 30 days' notice by email. A change applies from your next renewal.
- Card payments are processed by our payment processor. We do not store full card numbers.
4. Late payment, locking and deletion
If an invoice is not paid on time:
- We warn you inside your site and by email before and when payment is due.
- Your site is locked 3 days after the due date on a monthly plan, or 7 days after it on a yearly plan. While locked you can still sign in, but you only see a page to pay. Paying unlocks the site.
- A site still unpaid 30 days after it was locked is deleted. We keep its final backup for about 30 more days, during which we can restore it once the balance is paid. After that the data is gone for good.
5. Cancelling
You can cancel any time from your account where offered, or by emailing us. Cancelling stops the next renewal; you keep access until the end of the period you paid for. Fees already paid are not refunded, including for partial periods, unless the law requires it or we agree otherwise in writing. Before your site is deleted you can ask us for a copy of your data (section 6).
6. Your data
You own the data you and your users put into your site ("Customer Data"), such as contacts, donors, donations, invoices and files. You give us permission to host, copy, back up and process it only to run, secure and support the Service, and as our Privacy Policy describes. We do not sell Customer Data.
You are responsible for having the right to collect and use Customer Data, including telling the people it is about and getting any consents the law requires. We back up sites nightly and keep backups for about 30 days, but you should keep your own copies of anything important. You can ask us for a full copy of your database and files at any time while your account is active and during the period described in section 4.
7. Acceptable use
You agree not to use the Service to:
- break the law, or store or send content that infringes others' rights or is fraudulent, abusive or harmful;
- send spam or bulk email to people who did not ask for it;
- try to reach other customers' sites or data, probe or overload our systems, or get around limits or security;
- run cryptocurrency mining or other workloads unrelated to running your organization;
- resell the Service without our written agreement.
We may suspend a site that breaks these rules or puts other customers at risk, and will tell you why when we can.
8. Third-party services
Some features connect to services run by others, such as card processing, bank feeds (Plaid) or QuickBooks Online (Intuit). Using them may require accepting their terms. We are not responsible for those services, and they may change or stop working with the Service.
9. Availability, updates and support
We work to keep the Service running and secure, but we do not promise it will be uninterrupted or error free, and there is no uptime guarantee unless we agree one in writing. We update the software regularly, which can change or remove features; we take a backup before updating a site. We provide support by email on business days.
10. Ending the agreement
Either of us can end this agreement by cancelling. We may suspend or end your access if you seriously or repeatedly break these terms, if you do not pay as described in section 4, or if we stop offering the Service, in which case we will give you at least 30 days' notice and a chance to get a copy of your data. Sections 6, 11, 12, 13 and 14 continue after the agreement ends.
11. Disclaimers
Apart from what these terms say, the Service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. The Service helps you keep records; it is not tax, legal or accounting advice, and you are responsible for checking receipts, statements and reports you send to others.
12. Limitation of liability
To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, even if told they were possible. Our total liability for all claims about the Service is limited to the amount you paid us for it in the 12 months before the event that caused the claim. These limits do not apply to your payment obligations or to either party's fraud or willful misconduct.
13. Indemnity
You will defend and compensate us for claims by others arising from Customer Data or from your use of the Service in breach of these terms or the law.
14. General
These terms are governed by the laws of United States, without regard to its conflict-of-law rules, and disputes go to the courts located there. We may change these terms. If a change is material, we will email you at least 30 days before it takes effect; continuing to use the Service after that means you accept it. If part of these terms cannot be enforced, the rest still applies. These terms and any order you place are the whole agreement between us about the Service. Neither of us is responsible for delays caused by events beyond our reasonable control.
